This Software Licence Schedule (“Schedule”) forms an integral part of the General Terms & Conditions of Sale of Macq. 

In case of conflict, this Schedule shall prevail for all matters relating to software licences, SaaS access, maintenance and support. 

 

1. Scope 

​This Schedule governs the purchase, activation, invoicing, renewal and use of M³ software licences and related Service Level Agreements (SLA). 

​By placing an order, the Client accepts this Schedule in full. 

 

2. Licence Grant 

Subject to full payment of applicable fees, the Licensor grants the Client a non-exclusive, non-transferable, non-sublicensable licence to use the software solely for its internal business purposes. 

No ownership rights are transferred. 

 

3. Activation & Initial Term 

The licence is activated only after receipt of full payment (100%) of the applicable licence fees. 

The activation date communicated by Macq shall constitute the official Licence Activation Date. 

Unless otherwise agreed in writing: 

  • The licence has a minimum duration of one (1) year; 
  • The initial term begins on the Licence Activation Date. 


4. Fees, Invoicing & Payment 

Licence and SLA fees are invoiced 100% in advance. 

Invoices are payable within thirty (30) calendar days of the invoice date, in accordance with Article 9 of the General Terms & Conditions. 

Non-payment within the agreed timeframe automatically triggers the consequences set out in the General Terms & Conditions, without prejudice to suspension rights under this Schedule. 

Activation, renewal and continued access are conditional upon full payment of the applicable fees. 

 

5. Automatic Renewal 

Upon expiry of the initial term, the licence shall automatically renew for successive periods equal to the initial term (minimum one year), unless either party gives written notice of non-renewal at least ninety (90) days before the end of the then-current term. 

Renewal fees shall be invoiced prior to the start of each renewal term. 

Failure to pay renewal fees by the due date may result in suspension or termination in accordance with this Schedule. 

Macq reserves the right to adjust licence fees upon renewal, provided that the Client is informed prior to the renewal notice period. 

 

6. Permitted Use & Restrictions 

Unless otherwise agreed in writing: 

The Client is granted a licence for its internal business use only and shall not: 

  • copy, modify or create derivative works of the software; 
  • reverse engineer, decompile or attempt to derive source code, except where mandatory law permits; 
  • sublicense or make the software available to third parties; 
  • circumvent licence limitations or technical protection measures. 

Where the Client is an authorized distributor or reseller under a separate written Partner or Distribution Agreement with Macq, the Client may resell the software licence strictly in accordance with the terms of such agreement. 

In such case, the end customer shall receive a direct licence subject to this Software Licence Schedule. 

Any use outside the granted scope constitutes a material breach. 


7. Intellectual Property 

All intellectual property rights in the software, updates, enhancements and documentation remain the exclusive property of the Licensor. 

The Client receives only a right of use under this Schedule. 

 

8. Support, Updates & SLA 

Support, maintenance and updates are provided solely during an active and fully paid licence term and in accordance with the applicable SLA or support policy in force at the time of service delivery. 

If the licence expires, is suspended or terminated, support and access rights automatically cease. 


9. Suspension 

The Licensor may suspend access to the software immediately in the event of: 

  • non-payment; 
  • breach of licence restrictions; 
  • violation of applicable laws; 
  • security risks attributable to the Client. 

Suspension does not relieve the Client of payment obligations. 

 

10. Termination 

The Licensor may terminate the licence with immediate effect if the Client commits a material breach and fails to remedy such breach within thirty (30) days after written notice. 

The Client may terminate by written notice, subject to payment of all outstanding fees due for the applicable term. 

Upon termination or expiry: 

  • all licence rights immediately cease; 
  • the Client shall stop using the software; 
  • all copies must be deleted or uninstalled; 
  • licence keys and credentials must be disabled or returned. 

Termination does not affect accrued rights or payment obligations. 

 

11. Compliance & Verification 

The Client shall use the software in compliance with applicable laws and licence terms. 

Upon reasonable written request, the Client shall provide written confirmation of compliance and reasonable cooperation to verify lawful use. 

 

12. Limitation of Liability 

The software is provided “as is,” subject to any express SLA commitments. 

To the maximum extent permitted by law, the Licensor shall not be liable for indirect, incidental, consequential or loss-of-profit damages arising from use or inability to use the software.
